NetZen Partner Program
How your NetZen partnership and commission work
The short version first, then the full partner terms and the mutual NDA you accept when you create your partner profile. Effective November 1, 2026 (version 2026-11).
The program in plain words
Who can join
Independent AI consultants, AI consultancies, fractional AI officers and MSPs that advise clients on AI. Free to join; we review each profile and reply within 2 working days.
What you get
15% commission for 24 months on registered customers, a demo workspace, a technical expert for your client’s demo and security questions, help with the trial and proposal, support on the agreed first-rollout scope, the partner kit and badge, 12-month protection on registered opportunities, a named NetZen contact, and, if you opt in, a public profile on netzenai.com where businesses can ask to hire you.
Getting started
Create your profile and accept the agreement and mutual NDA. Once NetZen approves your profile, we arrange your demo workspace. Within 30 days of approval, list NetZen as a partner on your website. Once we confirm the listing, you are an active partner: your profile can go live on netzenai.com for businesses to hire you, and you can register opportunities, earn commission and use the badge.
What you do
Find the opportunity, run discovery, shape the client’s plan and lead the client to a decision. Tell your client you are a NetZen partner. You may sell your own implementation and advisory services and keep those fees.
What NetZen does
The support above. NetZen contracts with and bills the customer for the NetZen platform.
Registering an opportunity
Tell us the client’s company and contact before their trial starts. We confirm within 5 business days. An accepted registration is yours for 12 months while you work the opportunity.
Commission
15% of the subscription fees NetZen collects from that customer during their first 24 months as a paying customer.
Payment
Monthly, within 30 days after the month ends, in US dollars. Balances under US$50 roll over to the next month.
Your freedom
No quotas, no exclusivity, no reselling. Do not use NetZen access to build or promote a competing product. Either side can end the partnership with 30 days’ notice; after termination for convenience, eligible commission on customers you already brought continues under the full terms.
Reviewed every year
We review these terms at least once a year. Changes are announced 30 days ahead and never reduce commission on customers already registered.
NetZen Partner Program Agreement
Version 2026-11, effective November 1, 2026. Partners who joined earlier keep the terms they agreed to.
1. Parties and acceptance
This agreement is between NetZen AI Inc. (“NetZen”) and the organization or person accepted into the program (“Partner”). Partner accepts it, and NetZen’s mutual NDA below, electronically (for example by ticking the box on the partner profile or by email); electronic acceptance is binding.
2. Definitions
“Registration”: an opportunity Partner submits under section 8. “Referred Customer”: an organization named in a Registration NetZen accepted that starts a paid NetZen subscription within the Protection Period. “Net Subscription Revenue”: NetZen platform subscription fees actually collected from the Referred Customer, excluding taxes, refunds, credits and chargebacks, and excluding fees for professional services and third-party pass-through charges. Collected amounts are already net of any discount, so discounts are not deducted again. “Commission Period”: 24 months starting on the date of the Referred Customer’s first paid invoice. “Active”: the status in section 4.
3. Enrollment
Partner applies through netzenai.com. NetZen may accept or decline any application at its discretion. Acceptance is effective when NetZen confirms in writing (email suffices) and Partner has accepted this agreement and the mutual NDA. NetZen then provides the demo workspace.
4. Active status
Within 30 days of acceptance, Partner publishes a page or section on its own website identifying itself as a NetZen partner, using the partner kit’s copy and logo and linking to netzenai.com with rel="sponsored". Partner becomes Active when NetZen confirms the listing. Only an Active Partner may register opportunities, earn commission and use the NetZen Partner badge. If no listing is live after 30 days, NetZen may close the demo workspace and end this agreement. Tracked links measure traffic only; commission follows accepted Registrations, not clicks.
5. NetZen’s partner profiles and directory
If Partner opts in, NetZen shows an Active Partner’s name, logo, website, partner type, regions and profile description on a public NetZen profile page and in a public NetZen partner directory, with a form for businesses to ask to work with Partner, and may mention Partner in partner announcements. Requests go to Partner’s sign-in email, and the business can reply to Partner directly. Partner keeps its profile accurate, aims to reply to each request within 2 business days, and may change its profile or stop showing it at any time.
6. Relationship
The parties are independent contractors. Partner has no authority to bind NetZen, sign contracts for NetZen, collect money for NetZen, or make commitments about NetZen’s product, pricing, security or service levels beyond NetZen’s published materials or what NetZen confirms in writing. Nothing creates a joint venture, agency, franchise, partnership in law or employment relationship; “partner” is a program name.
7. Partner’s responsibilities
Partner identifies and qualifies opportunities, runs discovery, presents NetZen accurately and leads the client’s decision. Partner (a) clearly and conspicuously discloses to each client, and in any public recommendation, that it is a NetZen partner and may earn a commission; (b) makes no claim about NetZen beyond the partner kit, NetZen’s public website and documentation, or what NetZen confirms in writing; (c) complies with applicable laws, including anti-spam, privacy and anti-corruption laws, and offers or pays nothing of value to a client’s employee or a public official to influence a purchase; and (d) follows the brand rules in section 14.
8. Registration
Partner registers an opportunity before the client starts a NetZen trial, giving the client’s company name, website, a business contact and a short description, and confirms it may share that contact with NetZen for this purpose. NetZen accepts or declines within 5 business days. NetZen declines when the client is an existing NetZen customer, has an open trial, is in an active NetZen sales conversation started in the previous 90 days, or is Partner itself or its affiliate. When two partners register the same client, the first accepted Registration applies. “Protection Period”: 12 months from acceptance. NetZen may release a Registration earlier if Partner has had no contact with the client about NetZen for 90 days, or the client tells NetZen in writing that Partner does not represent it; NetZen tells Partner before releasing it. NetZen’s first message to a registered contact names Partner as the referrer. A request a business sends through Partner’s NetZen profile becomes a Registration for Partner once Partner marks it Contacted in the partner portal, under the same rules; when it conflicts with another Registration or comes from an existing NetZen user, NetZen decides before passing it on.
9. NetZen’s support
A demo workspace, technical support for demos and security questions, help with the trial and the proposal, and support for each Referred Customer’s first rollout, at a scope and schedule NetZen reasonably decides. NetZen does not guarantee leads, sales, revenue or a minimum level of support. The demo workspace holds sample data only; Partner does not load real client data into it.
10. Commission
NetZen pays Partner 15% of Net Subscription Revenue from each Referred Customer during its Commission Period. When a customer prepays for a period that extends past the Commission Period, only the months inside it count. When the Referred Customer is an MSP, commission is on what that MSP pays NetZen, not on what its clients pay the MSP. No commission is owed on Partner’s own subscription.
11. Payment
NetZen pays monthly, within 30 days after each calendar month ends, for Net Subscription Revenue collected in that month, with a statement. Payments are in US dollars by bank transfer; amounts collected in another currency convert at NetZen’s payment processor’s rate on the collection date. Amounts under US$50 roll over; any remaining balance is paid with the final statement when this agreement ends, except termination for Partner’s material breach.
12. Taxes
Commission is exclusive of sales taxes. If Partner is registered for GST/HST (or QST) it invoices those taxes with its registration number and NetZen pays them in addition. Partner provides the tax forms NetZen reasonably needs (for example W-9 or W-8BEN) before the first payment, and is responsible for its own income taxes. NetZen may withhold tax where the law requires it.
13. Statements and adjustments
If NetZen refunds or credits fees on which commission was paid, NetZen may deduct that commission from later payments. No commission is owed on Registrations that are fraudulent, self-generated or made in breach of this agreement; NetZen may reverse commission paid on them. Partner may question a statement within 60 days of receiving it; NetZen will show the underlying amounts. Unquestioned statements are final.
14. Brand use
NetZen grants Partner a limited, revocable, non-exclusive, non-transferable license to use NetZen’s name, logo and the NetZen Partner badge only to describe the partnership, following the partner kit’s rules. Partner does not register domains, company names or social handles containing “NetZen”, does not bid on “NetZen” or misspellings of it in paid search, and does not present itself as NetZen. All goodwill stays with NetZen.
15. Pricing
Partner quotes NetZen’s published prices or prices NetZen approves in writing, and does not offer NetZen discounts or credits on NetZen’s behalf.
16. Partner’s own services
Partner may sell its own consulting, implementation and support services to the client under its own contract and keeps those fees. NetZen is not a party to those contracts and is not responsible for Partner’s services.
17. Personal information and customer data
Each party handles personal information it receives under this program according to applicable privacy law (PIPEDA in Canada and equivalents elsewhere) and only for the program. Partner gets access to a customer’s NetZen data only when that customer grants Partner a role in its NetZen account, and then only under the customer’s instructions and NetZen’s terms of service; Partner protects that data, uses it for no other purpose, and tells NetZen promptly of any unauthorized access.
18. Confidentiality
The mutual NDA below governs confidential information. Without limiting it, unpublished pricing, roadmaps, product details seen in the demo workspace and customer information are NetZen’s confidential information. If the NDA and this agreement conflict, the stricter protection applies.
19. Protection of NetZen’s product
Partner does not use the demo workspace, NetZen’s confidential information or its access to any customer account to build, benchmark, train or promote a competing product; does not reverse-engineer, copy, scrape or resell access to NetZen; and does not share demo access with third parties. If Partner moves a Referred Customer from NetZen to a competing platform during its Commission Period, commission on that customer ends from that date.
20. No exclusivity
Apart from section 19, Partner may work with other vendors and NetZen may work with other partners. There is no general non-compete.
21. Term and termination
One year from acceptance, renewing automatically for one-year terms. Either party may end this agreement for convenience with 30 days’ written notice, or immediately for the other’s material breach not cured within 15 days of notice. After termination for convenience, commission continues on Referred Customers for the rest of their Commission Periods. After termination for Partner’s material breach, no further commission is owed. On termination, open Registrations lapse, the demo workspace closes, and within 30 days Partner removes the partner listing and badge and returns or deletes NetZen’s confidential information.
22. Warranties
Each party has the authority to enter this agreement. NetZen provides the program and demo workspace as is; NetZen’s product warranties to customers are in its customer terms.
23. Limitation of liability
Neither party is liable for indirect, incidental or consequential damages or lost profits. Each party’s total liability under this agreement is limited to the commission paid or payable in the 12 months before the claim, or US$5,000 if greater. These limits do not apply to breach of sections 17, 18 or 19, misuse of the other’s trademarks, a party’s indemnity, or amounts owed under section 10.
24. Indemnities
Partner indemnifies NetZen against third-party claims arising from Partner’s own services, from statements about NetZen that section 7(b) does not allow, or from Partner’s breach of law. NetZen indemnifies Partner against third-party claims that Partner’s use of NetZen’s marks as licensed infringes their rights. The indemnified party notifies promptly and lets the other control the defence.
25. Changes
NetZen may change these terms with 30 days’ written notice. Partner may end the agreement before a change takes effect; otherwise the change applies from its effective date. No change reduces the commission rate or Commission Period on Registrations accepted before the change.
26. Yearly review
NetZen reviews these terms at least once every 12 months, starting no later than November 2027, and may revise them under section 25 after each review. The current version and its effective date are published on this page.
27. Assignment
Partner may not assign this agreement without NetZen’s written consent. NetZen may assign it to an affiliate or a successor of its business.
28. Notices
Notices are in writing by email to the addresses each party gives on acceptance (NetZen: support@netzenai.com), effective on sending unless a bounce is received.
29. Governing law and disputes
The laws of Ontario and the federal laws of Canada applicable there. The parties first try to settle a dispute by good-faith discussion for 30 days; then the courts of Ontario have exclusive jurisdiction.
30. Language
The parties have required that this agreement and related documents be drawn up in English. For a Partner based in Quebec, NetZen provides a French version before acceptance.
31. General
If a provision is unenforceable, the rest remains in force and the provision is read to the extent enforceable. A delay in enforcing a right is not a waiver. Sections 11 to 13 (for amounts earned), 17, 18, 19, 21 (effects), 23, 24 and 29 survive termination. This agreement, the mutual NDA, accepted Registrations and payment statements are the entire agreement on the program; NetZen’s customer terms of service govern customers’ use of NetZen.
Mutual NDA
Accepted together with the partner agreement. It protects what each of us shares while working together.
1. Purpose
NetZen and Partner share information to evaluate and carry out the NetZen Partner Program (the “Purpose”).
2. Confidential information
Non-public information one party (the “discloser”) gives the other (the “recipient”) in connection with the Purpose that is marked confidential or that a reasonable person would understand to be confidential, including product details, demo workspace contents, unpublished pricing, roadmaps, business plans, and customer and prospect information.
3. What is not confidential
Information that is or becomes public through no fault of the recipient, that the recipient already knew without a duty of confidence, that the recipient develops independently without using the discloser’s information, or that the recipient receives from a third party free to share it.
4. Obligations
The recipient uses confidential information only for the Purpose, protects it with at least reasonable care, and shares it only with its personnel and professional advisers who need it for the Purpose and are bound by duties at least as protective as these.
5. Required disclosure
If the law or a court requires disclosure, the recipient may disclose what is required, after giving the discloser prompt notice where the law allows, so the discloser can seek protection.
6. Return or deletion
On request or when the partnership ends, the recipient returns or deletes the discloser’s confidential information, except copies kept in routine backups or required by law, which stay protected.
7. Term
These obligations apply during the partnership and for three years after it ends; for trade secrets, for as long as they remain trade secrets.
8. No license or warranty
No license to any intellectual property is granted except as the partner agreement states. Information is provided as is.
9. Remedies
Unauthorized use or disclosure may cause harm that money cannot fully repair, so the discloser may seek an injunction in addition to other remedies.
10. Governing law
The laws of Ontario and the federal laws of Canada applicable there; courts in Ontario.
